Introduction
These Terms and Conditions ("Agreement") govern the sale and delivery of all products and services provided by GRACEFUL EXIM PRIVATE LIMITED. By purchasing from our company, you agree to be bound by these terms and conditions.
1. Definitions
- Company refers to GRACEFUL EXIM PRIVATE LIMITED, located in Pune and Mumbai.
- Customer refers to any person or organization purchasing products or services from the Company.
- Products refer to all items listed in the company’s product range, including but not limited to EDM Wires, Jari Wires, Oils/Fluids, Ion Exchange Resins, EDM Wirecut Machine Filters, Rust Remover K200, and Moly Wires.
2. Order Acceptance and Pricing
- All orders are subject to acceptance by the Company. Prices are quoted in INR and are subject to change without prior notice.
- Any discrepancies in orders must be reported within 3 days of receiving the goods.
3. Payment Terms
- Payment must be made as per the terms agreed upon at the time of order placement. The Company may require payment in full or partial advance for certain orders.
- Late payments may incur interest charges as per applicable laws and regulations.
- The Company reserves the right to withhold further deliveries in case of non-payment or delayed payment.
4. Delivery and Shipping
- Delivery times provided by the Company are estimates only and may vary based on logistics and stock availability.
- The Company will not be liable for any delays or failure to deliver due to circumstances beyond its control, such as natural disasters, strikes, or supply chain disruptions.
- Shipping costs are the responsibility of the Customer unless otherwise agreed upon. Risk of loss or damage to goods passes to the Customer upon dispatch.
5. Returns and Cancellations
- Products can only be returned or exchanged with prior written consent from the Company.
- Returns will only be accepted for defective goods or goods damaged in transit, provided that the Customer notifies the Company within 5 days of receiving the goods.
- Cancellations must be made in writing within 24 hours of placing the order. If a cancellation request is received after this period, the Customer may be subject to cancellation fees.
6. Product Warranty
- The Company provides a warranty for all products as per the manufacturer’s standard warranty policies. This typically covers defects in material and workmanship under normal use and conditions.
- The Company will repair or replace, at its discretion, any defective products during the warranty period. The warranty does not cover damage resulting from improper use, negligence, or unauthorized modification of the products.
7. Limitation of Liability
- The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the use or inability to use its products, even if advised of the possibility of such damages.
- The Company’s total liability to the Customer shall be limited to the amount paid by the Customer for the purchased product in question.
8. Confidentiality
Both parties agree to keep all confidential information received from each other as part of this Agreement secure and not to disclose it to any third party without prior written consent, except where required by law.
9. Intellectual Property
All trademarks, logos, and content on the Company's website or in any promotional material are the intellectual property of GRACEFUL EXIM PRIVATE LIMITED and may not be used without written permission.
10. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be resolved in the courts located in Pune, Maharashtra.
11. Amendments
The Company reserves the right to modify or update these Terms and Conditions at any time without prior notice. Customers are encouraged to review the Terms and Conditions periodically for any changes.
12. Force Majeure
The Company shall not be liable for any failure or delay in fulfilling its obligations under these Terms and Conditions if such failure or delay is due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, or disruptions in the supply chain.
